TERMS AND CONDITIONS

YESS BRAND LIMITED

1. Definitions
   “Company” means YESS BRAND LIMITED. “Customer” means the person or business purchasing the goods. “Goods” means the products supplied by the Company, including goggles and accessories.

2. Orders and Acceptance
   All orders are subject to acceptance by the Company. A contract is formed when the Company issues an order confirmation or invoice. The Company reserves the right to decline any order.

3. Price and Payment
   Prices are as stated on the invoice and are exclusive of VAT unless otherwise indicated. Payment is due in accordance with the terms stated on the invoice, or on receipt if no terms are specified. Title to the Goods remains with the Company until payment is received in full. Late payments may attract interest at 8% above the Bank of England base rate in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

4. Delivery
   Delivery dates are estimates only and are not guaranteed. Risk in the Goods passes to the Customer upon delivery. The Company is not liable for delays caused by carriers, customs, or circumstances beyond its reasonable control.

5. Returns and Refunds
   Goods may be returned or replaced only within 7 days of delivery and only if they remain unused, unopened and in their original sealed packaging. Once the packaging has been opened, the Goods have been used, or 7 days have passed, no returns, refunds or replacements will be accepted. The Customer is responsible for all return shipping costs.
   Consumer customers in the UK retain their statutory rights under the Consumer Rights Act 2015 in respect of faulty goods only.

6. Warranty
   The Goods are manufactured to the Company’s direction in partnership with approved manufacturers. The Company warrants that the Goods will be free from defects in materials and workmanship at the time of delivery under normal use. Any claim for a manufacturing defect must be notified in writing within 7 days of delivery and will be considered only if the Goods are unused and in original sealed packaging. Where a defect is accepted, the Company’s liability is limited to repair, replacement or refund of the defective Goods at its sole discretion. No warranty applies once the Goods have been used, the packaging opened, or after 7 days from delivery. The Company accepts no liability for damage caused by misuse, impact, improper cleaning, modification, normal wear and tear, or use outside the product’s intended purpose. Goggles are safety equipment; the Customer is solely responsible for ensuring suitability, correct fitting and proper maintenance.

7. Limitation of Liability
   Except where prohibited by law, YESS BRAND LIMITED will not be liable for the incorrect application, any loss or damage arising from our product, whether direct, indirect, special, incidental, or consequential, regardless of the legal theory asserted, including warranty, contract, negligence, or strict liability.
   To the fullest extent permitted by law, the Company’s total liability is limited to the price paid for the Goods. Nothing in these terms excludes liability for death or personal injury caused by negligence, or for fraud.

8. Intellectual Property
   All trademarks, logos, designs and content relating to YESS Brand remain the property of the Company. No rights are granted to the Customer to reproduce or use them without prior written consent.

9. Force Majeure
   The Company shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including supplier issues, shipping delays or acts of God.

10. Governing Law
    These terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
